Needwell Inc. had entered into a capital and business alliance agreement with Ascentec Inc., but has now decided to transition to a business alliance agreement following Ascentec’s announcement of its support for the tender offer by OPI・18 Inc., to announce that the agreement will now transition to a business alliance agreement.
Ascentec is an IT company that contributes to business work style transformation through the provision of virtual desktop solutions and infrastructure solutions. In November 2021, Ascentec and our company signed a business alliance agreement with the aim of mutually cooperating to provide sales, implementation, and maintenance of solutions that create remote work environments in a short period of time and at low cost in a highly secure environment. In February 2022, we entered into a capital and business alliance to acquire each other’s shares and strengthen our collaborative relationship by expanding the sales channels for our solutions and holding joint seminars.
In addition, in April 2025, we signed a master partner agreement with CXJ Co., Ltd., a subsidiary of Ascentec that sells Citrix products in Japan, and have begun providing virtualization solutions using Citrix products.

Ascentec has now expressed its support for the tender offer by OPI・18, the Company has decided today to tender its shares in the tender offer.
In addition, Ascentec and our company have agreed to dissolve their capital and business alliance and transition to a business alliance. We will continue to deepen our collaboration in the solutions field and aim for further growth for both parties.
