A single listed corporate security is expected to improve trading liquidity. This change could make the company easier to compare with publicly traded infrastructure businesses. The company also believes that a corporate structure could broaden its investor base. This includes investors and funds that prefer securities.
The proposed structure might also support participation, in market indexes. This would depend on the eligibility criteria. A consolidated reporting entity may simplify analysis. It could also make screening and benchmarking easier. This is because it would reduce the need to evaluate related investment vehicles.
Unitholders Deliver Than 99% Support
On October 14 2026 BIP held a virtual special meeting where unitholders voted on two key resolutions. The first was to approve the plan of arrangement. The second was to make changes to the partnership agreement. Both resolutions passed with support.
Than 99% of the votes cast approved each resolution. This includes than 99% of the votes from minority unitholders. 60% Of all outstanding BIP units were represented at the meeting. The results meet all the unitholder voting requirements needed for the transaction to move forward.
Still the restructuring is not finished. Final approval from the Supreme Court of British Columbia is still needed. Other conditions must also be met. The court hearing is expected to take place on or, around November 3 2026 if all the necessary approvals are secured.
Proposed Conversion Into a Canadian Corporation
Under the proposed arrangement, BIP would convert from a limited partnership into Brookfield Infrastructure Partners Inc. (BIP Inc.), a Canadian corporation. Existing BIP unitholders would receive Class A subordinated voting shares in the new entity.
The restructuring is designed to combine BIP and Brookfield Infrastructure Corporation (BIPC) into a simpler publicly traded corporate structure. However, BIP’s conversion does not depend on BIPC shareholders approving their participation in the transaction.
BIPC shareholders are scheduled to vote on the proposal at a special meeting on October 29, 2026. If they approve it, holders of BIPC exchangeable shares would also receive Class A shares of BIP Inc. If they reject it, the BIPC exchangeable shares would remain outstanding and become exchangeable on a one-for-one basis for BIP Inc. Class A shares after BIP’s conversion.
The separate vote means that the final structure will depend partly on the decision of BIPC shareholders.
Expected Benefits for Investors
Brookfield Infrastructure says the simplified structure could offer several benefits to investors.
For BIP unitholders, the company has also highlighted the potential elimination of complex partnership tax reporting forms and preferential dividend tax treatment for many taxable Canadian and U.S. investors. Individual tax consequences will depend on the investor’s circumstances and applicable rules.
These are expected benefits outlined by Brookfield Infrastructure, rather than guaranteed outcomes. Actual liquidity, index inclusion and investor demand will depend on market conditions and the policies of relevant index providers and investment funds.
BIPC Shareholder Vote Remains a Key Milestone
BIPC’s board of directors has unanimously recommended that shareholders approve the proposed simplification, following recommendations from its independent special committee and receipt of a fairness opinion from Scotiabank.
The shareholder meeting is scheduled for October 29, 2026, at 9:00 a.m. Eastern Daylight Time. Registered shareholders must submit proxy votes by 5:00 p.m. EDT on October 27. The company has encouraged eligible shareholders who have not yet voted to participate.
The outcome will determine whether BIPC shareholders participate in the consolidated structure at closing. Even if they do not approve the transaction, BIP’s conversion can proceed independently, subject to the required court order and other conditions.
The proposed restructuring also includes provisions relating to future share issuances by BIP Inc. under a prospectus, subject to the applicable securityholder approvals and regulatory relief described in the transaction documents. Investors are encouraged to review the company’s joint management information circular for the full terms.

The proposed simplification will alter the listed structure that investors use to reach Brookfield Infrastructure’s portfolio. It is not a sale of the underlying infrastructure assets.
After Brookfield Infrastructure has secured approval, from BIP unit holders the next steps are the court procedure and the independent BIPC shareholder vote. If all required conditions are satisfied Brookfield Infrastructure expects to finish the transaction in the quarter of 2026.
The final result will show how Brookfield Infrastructure’s listed securities are merged and whether the planned advantages of a corporate structure actually happen.
