The revised royalty arrangement will apply from January 1, 2029, or from the first commercial sale of bivamelagon if that occurs earlier. LG Chem will receive a 1% royalty on global net sales across Rhythm’s MC4R portfolio, replacing the previous low-to-mid-single-digit royalty structure, which varied according to the number of approved indications.<\/p>

The amendment also introduces an additional milestone payment of up to $200 million if Rhythm’s MC4R portfolio reaches $3 billion in annual global net sales. This is in addition to the original potential development, regulatory and commercial milestone payments of up to $205 million.<\/p>

Consequently, the agreement’s potential value rises to $855 million, excluding the separate ongoing royalty stream. The companies may also agree to convert certain fixed payment obligations into additional royalties.<\/p>
